Terms of Service

Agreement

These Terms of Service ("Terms") are a contract between you and Blackhorse Publishing Inc("we", "us") for use of Greypony at greypony.company, related APIs, and mobile apps. By creating an account, clicking to accept, or using the service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.

The service

Greypony provides media upload, watermarking, vault storage, protected share links, and engagement analytics. Features available to you depend on your plan. We may change, suspend, or discontinue features with reasonable notice when practicable. Greypony is not a VPN product; encrypted networking is offered separately by Palomino under separate terms.

Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) and able to form a binding contract. If you use Greypony on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Accounts

You are responsible for safeguarding your credentials and API keys and for all activity under your account. Notify us promptly of any unauthorized use. Keep your contact email accurate so we can reach you about security, billing, and service notices. Palomino and Greypony accounts are separate unless you explicitly link them in Settings after verifying ownership of both emails.

Acceptable use

You agree not to:

• Misuse the service, attempt to breach security, or circumvent plan limits, rate limits, or access controls
• Upload or distribute unlawful, infringing, or harmful content, or content you lack rights to process
• Interfere with other users, scrape without authorization, or reverse engineer the service except where law permits
• Use the service to violate applicable law or third-party rights

We may suspend or terminate accounts that violate these Terms or create risk to the service or other users.

Subscriptions and billing

Paid plans are billed through Stripe on a recurring basis until cancelled. Subscriptions are managed at greypony.company. Fees are non-refundable except where required by law. Taxes may apply.

The Basic tier requires a one-time $1 activation charge (a verified payment method on file for account accountability). This is a single charge, not a subscription, and does not renew.

Core and Sovereign API plans each include a 30-day trial (one trial per workspace). A valid payment method is required at signup. Unless you cancel before the trial ends, your subscription automatically renews at $50/month (Core) or $250/month (Sovereign API). You can cancel anytime through the billing portal to avoid future charges.

We may change prices with notice before the next billing period. Continued use after a price change takes effect constitutes acceptance of the new price for subsequent periods.

Your content and intellectual property

You retain rights to media you upload. You grant us a limited, worldwide, non-exclusive license to host, process, watermark, transmit, and display that content solely to provide and improve the service (including generating share links and analytics). You represent that you have all rights needed to grant this license.

The Greypony software, branding, dashboards, and related infrastructure remain our property (or our licensors'). These Terms do not transfer ownership of our IP to you.

Third-party services

The service depends on processors such as Supabase, Stripe, Vercel, and email delivery providers. Their use of data is described in our Privacy Policy. We are not responsible for third-party sites or services you choose to connect or share links with.

Termination

You may stop using Greypony and cancel paid plans through the billing portal. We may suspend or terminate access for violation of these Terms, non-payment, legal requirement, or if we discontinue the service. Upon termination, your right to use the service ends; provisions that by nature should survive (including IP, disclaimers, liability limits, and indemnity) will survive.

Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation, or that watermarks, analytics, or share controls will meet every use case or prevent unauthorized redistribution by third parties.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted.

Indemnification

You will defend and indemnify us against claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your use of the service, or your violation of these Terms or applicable law.

Changes to these Terms

We may update these Terms from time to time. The "Last updated" date will change when we do. Material changes will be posted on this page; continued use after the effective date constitutes acceptance. If you do not agree, stop using the service and cancel any paid plan.

Governing law

These Terms are governed by the laws of the United States and the State in which Blackhorse Publishing Inc is organized, without regard to conflict-of-law rules. Courts in that State will have exclusive jurisdiction over disputes, except where applicable law requires otherwise (including mandatory consumer protections in your country).
